Client Agreement & Informed Consent

This Client Agreement and Informed Consent ("Agreement") is between you ("you", "Client") and Akem Advisory LLC, a Nevada limited liability company trading as AKEM Healing ("AKEM Healing", "we", "us"). Sessions are delivered by Samuel Holmes on behalf of the company ("Samuel"). It applies to every session, package, coaching call and any other service you receive from AKEM Healing.

1. What this service is

AKEM Healing provides complementary energy work and life coaching, delivered remotely. These are wellbeing, personal development and self-improvement services. They are intended to support relaxation, stress reduction, emotional processing, self-understanding, decision making and practical life organisation.

A typical session involves Samuel working with your energy field at an agreed time, followed by a written or spoken debrief describing what he observed and worked on. Coaching sessions involve structured conversation about your circumstances, goals and choices.

2. What this service is not

Samuel is not a licensed physician, surgeon, nurse, psychologist, psychiatrist, counsellor, psychotherapist, social worker, chiropractor, physiotherapist, dietitian, nutritionist or any other licensed or regulated healthcare professional, and he does not hold himself out as one.

Sessions are not:

• medical care, or the practice of medicine in any form;
• mental health care, psychotherapy, counselling or psychiatric care;
• nursing, physical therapy, chiropractic or any licensed healing art;
• a substitute for consulting a qualified healthcare professional.

Nothing said in a session, written in a debrief, sent by message or published on this website is medical, psychological, legal, financial or tax advice.

3. No diagnosis, treatment or cure

Samuel does not diagnose, treat, cure, mitigate or prevent any disease, illness, injury, disorder or mental health condition, and he makes no claim to do so.

Any observation Samuel offers about your body, your energy, your emotional state or your patterns is a personal impression, offered for your own reflection. It is not a diagnosis, not a medical or psychological opinion, and not a substitute for professional assessment. It must not be relied upon as a basis for any health decision. If something he says concerns you, take it to a qualified clinician.

4. Emergencies and crisis

5. No guaranteed outcome

No specific result of any kind is promised, guaranteed or warranted. That includes, without limitation, physical, medical, emotional, psychological, spiritual, relational, athletic, creative, professional, business or financial results.

Experiences vary enormously between individuals. Some clients report significant change; some report modest change; some report no perceptible change at all. Any testimonial, review, case description or client account published by AKEM Healing describes one individual's experience. It is not representative, not typical, and not predictive of what you will experience.

Any research, study or statistic referenced on this website or in conversation is published third-party work included as general background. It is not evidence about AKEM Healing sessions and does not indicate that you will obtain the outcomes reported in it.

6. Possible responses to a session

Clients sometimes report temporary effects in the hours or days after a session, including tiredness, emotional movement or tearfulness, vivid dreams, changed sleep, headache, heightened sensitivity, or a temporary increase in awareness of an existing symptom. These are commonly reported and usually settle within a few days.

If you experience anything that worries you physically or psychologically, contact a qualified healthcare professional promptly. Do not wait for a follow-up session.

7. Who this work is not suitable for

Please do not book, and instead speak to your clinician first, if you:

• are currently in a mental health crisis, or have recently experienced suicidal thoughts or intent;
• have a diagnosed psychotic, dissociative or bipolar condition, unless your treating clinician is aware and supportive;
• are seeking this work as an alternative to medical treatment rather than alongside it;
• are under 18, unless a parent or legal guardian consents and participates;
• are looking for a diagnosis, a prognosis, or a second opinion on a medical matter.

Samuel may decline a booking, or end and refund a session, if he believes the work is not appropriate for you or that you need clinical care instead. He will tell you plainly if that is his view.

8. Your responsibilities

You confirm that:

• you are at least 18 years old, or you hold lawful authority to give this consent;
• you are entering into this voluntarily, of your own free choice, and are not being pressured by anyone;
• the information you provide at intake is accurate and complete, including anything relevant to your safety;
• you remain responsible for your own choices, actions, decisions and wellbeing during and after a session;
• you will be somewhere safe and undisturbed at the session time, and will not drive or operate machinery during a session.

9. Confidentiality

What you share with Samuel is treated as confidential. It is not sold, and it is not shared with any third party except: where you give written permission; where it is necessary to process your booking or payment through our service providers; or where disclosure is required by law or is necessary to prevent a serious and imminent risk of harm to you or another person.

Nothing you say is used in marketing, on social media, in a case study or in any public material without your separate, specific written permission.

10. Payment, cancellation and rescheduling

• Payment is taken in full at the time of booking through our third-party payment provider.
• Rescheduling and cancellation are free up to 24 hours before your session start time. Cancel in that window and you receive a full refund; reschedule and your payment moves with you.
• Within 24 hours of the session, and in the case of non-attendance, the fee is non-refundable, because the time was reserved for you and cannot be filled at short notice.
• Delivered sessions are non-refundable. You are paying for Samuel's time and attention, not for a particular outcome.
• Serious circumstances. If something genuinely serious prevents you attending, email Samuel. He will use his discretion, which he exercises generously and reserves entirely.
• If Samuel cancels or is unable to deliver a session, you receive a full refund or a rescheduled session, at your choice.

11. Assumption of risk and release

You acknowledge that you are participating in these services voluntarily and at your own risk, having read and understood the sections above. You accept full responsibility for any consequence of your participation.

To the fullest extent permitted by law, you release and hold harmless Akem Advisory LLC, Samuel Holmes, AKEM Healing and their members, officers, employees and anyone acting on their behalf from any and all claims, demands, damages, costs, expenses, actions or liabilities of any kind arising out of or connected with your participation in these services, whether known or unknown, other than liability that cannot lawfully be excluded.

12. Limitation of liability

To the fullest extent permitted by law:

• the services are provided on an "as is" basis, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement;
• the total aggregate liability of Akem Advisory LLC, Samuel Holmes and AKEM Healing arising out of or relating to the services is limited to the amount you actually paid for the session giving rise to the claim;
• neither is liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profit, revenue, income, opportunity, goodwill, reputation or data, however caused.

13. Recording and intellectual property

Neither party may record a session, in audio or video, without the other's prior written consent. Any materials, exercises, written debriefs or resources Samuel provides remain his intellectual property and are for your personal use only. Please do not reproduce, publish or resell them.

14. Electronic signature and record keeping

By ticking the confirmation box and drawing your signature on the booking page, you are signing this Agreement electronically. You agree that your electronic signature is the legal equivalent of a handwritten signature and that this Agreement is enforceable on that basis, consistent with the US ESIGN Act, UETA and equivalent electronic signature legislation elsewhere.

A record is retained of your name, email address, signature image, the version number of the Agreement you signed, and the date and time of signing, as evidence of your consent. See the Privacy Policy for retention periods.

Continuing effect for repeat bookings

Your signature applies to the version of this Agreement identified in your signed record, and it continues to apply to every session you book while that version remains in force. You do not need to sign again for each booking. Your browser stores a note that you have signed, so that returning to the booking page takes you straight to the calendar.

You will be asked to sign again if: this Agreement is updated to a new version; you book from a different device or browser; or you clear your browsing data. Booking a session at any time constitutes your continued agreement to the version then in force, which is always published on this page.

15. Governing law and disputes

This Agreement is governed by the laws of the State of Nevada, United States, without regard to conflict of law principles, and the state and federal courts located in Clark County, Nevada have exclusive jurisdiction over any dispute, except where mandatory local consumer law gives you the right to bring proceedings elsewhere.

Before commencing any formal proceedings, both parties agree to attempt to resolve the matter in good faith by direct discussion, beginning with written notice to Sam@akemhealing.com, and to allow at least 30 days for that discussion.

16. Entire agreement and changes

This Agreement, together with the Terms of Service and Privacy Policy, forms the entire agreement between you and AKEM Healing and supersedes any prior discussion or representation. If any provision is found invalid or unenforceable, the remaining provisions continue in full force.

AKEM Healing may update this Agreement from time to time. The version that applies to you is the version you signed, identified by the version number recorded with your signature. A current version is always published here.
